BY SUBSCRIBING TO THE SERVICE, YOU SIGNIFY YOUR ASSENT TO THIS AGREEMENT. IF YOU ARE ACTING ON BEHALF OF AN ENTITY, THEN YOU REPRESENT THAT YOU HAVE THE AUTHORITY TO ENTER INTO THIS AGREEMENT ON BEHALF OF THAT ENTITY. IF YOU DO NOT ACCEPT THE TERMS OF THIS AGREEMENT, THEN PLEASE DO NOT SUBSCRIBE TO THE SERVICE AND DO NOT PROFILE, REGISTER OR ENTITLE A SYSTEM WITH OR FOR THE SERVICE AND DO NOT USE THE MOBAXTERM CUSTOMIZER. This Subscription Agreement, including all schedules and appendices hereto (the "Agreement"), is between Mobatek SARL ("Mobatek") and the user that choosed to register the MobaXterm professional customizer and service and accepts the terms of this Agreement ("you" or "Customer"). The effective date of this Agreement ("Effective Date") is the earlier of the date that Customer accepts this Agreement or the date that Customer uses MobaXterm professional customizer or service. 1 Scope of the registration agreement ------------------------------------- This Agreement establishes the terms and conditions under which Mobatek will provide MobaXterm professional Cutomizer Services to Customer. "Software" means MobaXterm professional Customizer tool. MobaXterm terminal software is delivered under the GPL license. "Subscription Services" mean fee-bearing subscriptions (for a period of one year) for MobaXterm maintenance, support and download services for the Software. The parties agree that the terms of this Agreement will govern future purchases by Customer of Software and Services from Mobatek otherwise agreed by the parties in writing. 2 Support --------- The MobaXterm terminal and MobaXterm Customizer programs could contain some bugs, albeit none that could cause harm to your system. Because of this and the many software and hardware environments into which it can be made to run, the program and the accompanying files come "as is" and without any warranties whether expressed or implied. The user must assume the entire risk of running the program. Any liability of the developer will be limited exclusively to product replacement. For support, Customer will provide MobaXterm professional installed Systems and other Customer information, systems, and software ("Customer Information") as reasonably requested by Mobatek to enable Mobatek to provide the Support. Customer understands and agrees that the completeness and accuracy of and extent of access to the Customer Information provided to Mobatek may affect Mobatek's ability to provide Support. Customer will obtain any third party consents necessary to grant Mobatek access to the Customer Information that is subject to proprietary rights of, or controlled by, any third party. Customer may, for legitimate security concerns, deny Mobatek certain access to Customer Information and the Installed Systems, provided, however, that Mobatek shall be relieved from performing Support which reasonably require such access. 3 Distribution agreement ------------------------ The package you attend to download from MobaXterm professional is composed of : a. MobaXterm terminal program b. MobaXterm Customizer c. This document ("terms and conditions") a. MobaXterm terminal program MobaXterm terminal program is released under the GPL license. The sources of the software are available upon request (contact@mobatek.net). b. MobaXterm Customizer The Licensor hereby grants you, effective on the date you accept and install the Software, stated below, a non-exclusive and non-transferable license to use the Software in object code form, (i) whether for commercial or non-commercial use and (ii) for the number of authorized users for which you have paid a license fee, as specified in Order Form. The number of authorized users of the Software shall not exceed the number of MobaXterm professional Registration in the Order Form (which number may be modified in the future by mutual agreement between the parties). If the Software is installed on a server or network, each user who can access the Software is considered to be using copy of the Software. You may make copies of the Software up to the number of copies for which you have paid a subscription fee. You agree to maintain and reproduce all copyright and confidentiality notices that refer to this Software License Agreement on all copies, in any form, of the Software. You may not reproduce or publicly display the Software, for any public or commercial purpose, without the prior consent of the Licensor. Except as expressly authorized above, you may not, in whole or in part, copy the Software or documentation; modify the Software; decompile, translate, or reverse engineer the Software; grant any sublicenses or rent; lease, distribute, sell or create derivative works of the Software. You are not allowed to redistribute the MobaXterm customizer. This software is linked to your personal registration to the MobaXterm service. 4. End User License Agreement ----------------------------- "MobaXterm Professional", "MobaXterm Customizer" and all third-party Cygwin programs provided by means of Mobatek (the "Software Programs") are individually written and copyrighted, and are subject to individual end user license agreements (each, a "EULA") that are applicable to the Software Programs. These EULA's are located in the source code for third-party Cygwin programs and in the "About" section of MobaXterm and MobaXterm Customizer. You agree to review, and that you are subject to, each such EULA. Most of the EULA's permit you to copy, modify and redistribute the Software Programs, in both source code and binary code forms. Nothing in this Agreement limits your rights under, or grants you rights that supercede, any applicable EULA. The Software Programs provided by means of the Service, including source code, documentation, appearance, structure and organization are proprietary products of Mobatek and others and are protected by copyright and other laws. Title to these Software Programs, or to any copy, modification or merged portion of the Software Programs, shall at all times remain with the aforementioned, subject to the terms and conditions of the applicable EULA related to the Software Programs under consideration. 5. Payment Obligations Applicable to Subscribers ------------------------------------------------ If Customer has purchased a subscription to the Service, then Customer agrees to the following: All fees are exclusive of any foreign, federal, state or local sales, excise, use or similar taxes. Customer agrees to pay all such taxes, when applicable, regardless of whether such taxes appears on an original invoice or are later levied. Any renewal of this Agreement will be at Mobatek list prices in effect at the time of the renewal. All payments are non-refundable. Customer agrees to provide Mobatek with accurate and complete billing information (including legal name, address, telephone number, and billing or credit information). Customer will report to Mobatek all changes to this information within thirty (30) days of the change. All charges are considered valid unless disputed within sixty (60) days of the billing date. Adjustments will not be made for charges that are more than 60 days old. Mobatek reserves the right to suspend or cancel Service for non-payment. Mobatek is not responsible for Customer's credit card or debit card fees or expenses. In the event that the Service is purchased through a reseller rather than directly through Mobatek, the Customer's Service will be suspended if the reseller fails to pay all amounts due to Mobatek. 6. Miscellaneous ---------------- - REFERENCES The CUSTOMER authorizes MOBATEK to mention his name on a list of references that can disseminate to its prospects. - APPLICABLE LAW This Agreement is subject to FRENCH LAW. - DISPUTES The parties declare their intention to seek an amicable solution to any problems which might arise about the application or interpretation of these terms and conditions. Otherwise, jurisdiction is expressly given to the Tribunal de Commerce in Toulouse - FRANCE, despite multiple defendants or as collateral. Such jurisdiction shall also apply for interim relief. In any case, the maximum amount that Mobatek could refund in case of failure is the total customer registration price for the current year.   I accept the above terms and conditions Buy now
